Terms of Service

Welcome to ReeLee

These Terms of Service ("Terms") govern your access to and use of the ReeLee mobile and web platforms (the "Platform") available at reelee.tv. By using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Eligibility

You must be at least 13 years old to use the Platform. By creating an account, you represent that you meet this requirement. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's permission.

2. User Accounts and Identity

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials. By uploading content or personal likeness (e.g., face, voice), you affirm that you have the right to do so and that it does not infringe on third-party rights.

You may authorize others to download, remix, or adapt your likeness, and once authorized, you waive claims against the Platform and Digipal Tech Inc. for any downstream uses compliant with these Terms. Our license to your content continues after account deletion or permission revocation for content already distributed.

3. Content Creation and AI-Generated Material

Our Platform integrates with third-party AI technologies to enable AI-generated video, voice, or face synthesis content. You acknowledge and agree that:

• Your content may be processed, transformed, and repurposed using AI tools.
• AI outputs may not always be accurate or appropriate.
• You grant us a global, perpetual, sublicensable license to use, modify, distribute, and publicly display content created or uploaded by you.

You retain ownership of your content but agree that once you authorize sharing or download, Digipal Tech Inc. is not responsible for downstream usage unless it violates our policies.

4. Use of Likeness

By uploading your likeness or authorizing others to use it:

• You consent to AI-driven transformation (e.g., face-swapping, voice synthesis).
• You waive the right to object to derivative, altered, or adapted versions of your likeness if such use is within the Platform's terms.
• You must not upload likenesses of others without explicit consent. You are fully liable for any claims resulting from such actions.

5. Payments and Monetization

We offer in-app purchases, paid memberships, creator tools, and monetization features. Fees may change at any time. We may:

• Withhold or delay payouts for fraud investigation or legal compliance.
• Require creators to meet minimum thresholds and provide identity verification.
• Require creators to handle tax reporting and local obligations.

Continued use of monetization features signifies agreement with any updated terms.

6. Deletion and Content Agreements

You may request deletion of videos involving your likeness unless those videos are bound by a content agreement (e.g., co-produced short dramas). A content agreement is a mutual consent to collaborate or appear in media where withdrawal would materially affect others.

Deleted content may be retained up to 30 days for legal, backup, or operational reasons. You waive the right to remove content already downloaded or remixed under your authorization.

7. Prohibited Conduct

You may not use the Platform to:

• Impersonate others or misrepresent your identity.
• Create harmful, defamatory, or misleading content, including unauthorized deepfakes.
• Harass, abuse, or threaten others.
• Upload unauthorized copyrighted materials or violate others' rights.

We may remove violating content and terminate accounts at our discretion.

8. Disclaimer of Warranties

The Platform is provided "as-is" without warranties of any kind. We disclaim liability for:

• AI-generated content inaccuracies or harm.
• Issues resulting from third-party APIs or technologies.
• Content created or shared by users.

We are not responsible for monitoring or moderating content, though we reserve the right to do so.

9. Limitation of Liability

To the fullest extent permitted by law, Digipal Tech Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Platform.

10. Indemnification

You agree to indemnify and hold harmless Digipal Tech Inc. from any claims, damages, or liabilities arising from:

• Your uploaded or generated content.
• Unauthorized use of others' likenesses.
• Breach of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada. Any disputes shall be resolved through binding arbitration in Vancouver, under the Canadian Arbitration Association rules. Class action lawsuits are waived to the extent permitted by applicable law.

12. Updates to These Terms

We may update these Terms from time to time. Continued use after updates signifies acceptance. Notification may be provided via in-app messages or email.
